Executed on the letterhead of either party or plain paper; stamp paper is not mandatory for enforceability but a ₹100/₹500 non-judicial stamp (per state practice) is customary and helps in evidence. Signed by authorised signatories of both parties.

MUTUAL NON-DISCLOSURE AGREEMENT

This Mutual Non-Disclosure Agreement ("Agreement") is made at [CITY] on [DATE] between:

(1) [PARTY A LEGAL NAME], [entity type], having its registered office / principal place of business at [ADDRESS] ("Party A"); and

(2) [PARTY B LEGAL NAME], [entity type], having its registered office / principal place of business at [ADDRESS] ("Party B"),

each a "Party" and, when disclosing, the "Discloser" and, when receiving, the "Recipient".

The Parties wish to discuss and evaluate [PURPOSE — e.g. a proposed supply arrangement / investment / joint development] (the "Purpose") and in doing so may disclose Confidential Information to each other.
