A Private Limited Company is the most popular structure for startups and growing businesses that want limited liability, credibility with investors and a clear path to raise funds.

We manage the full incorporation — director DSCs and DINs, name reservation, MOA/AOA drafting and the SPICe+ filing — and deliver your certificate of incorporation along with PAN and TAN.

Overview: what a Private Limited Company is

A Private Limited Company is a separate legal entity registered under the Companies Act, 2013, owned by shareholders and run by directors. Its defining features are limited liability — your personal assets are protected if the business fails — and perpetual succession, meaning the company continues regardless of changes in ownership. It is the structure investors, banks and serious B2B customers trust most.

Incorporation today happens entirely online through the MCA V3 portal using the SPICe+ form, which bundles name reservation, incorporation, PAN, TAN, EPFO, ESIC, professional tax and a bank account into a single integrated application. A company needs a minimum of two directors and two shareholders (who can be the same people), at least one resident director, and a registered office address in India.

Who should choose a Private Limited Company

  • Startups planning to raise angel, seed or venture funding
  • Founders who want clean equity, ESOPs and a cap table
  • Businesses needing limited liability protection for personal assets
  • Teams wanting credibility with banks, enterprise buyers and vendors
  • Companies planning to scale, add partners or eventually list

Step-by-step incorporation process

We start by obtaining Class 3 Digital Signature Certificates for the proposed directors and reserving your company name through the RUN/SPICe+ Part A facility, checking it against existing companies and registered trademarks to avoid rejection. We then draft the Memorandum and Articles of Association (MOA and AOA) that define your objects and internal rules.

Next we file SPICe+ Part B together with the linked AGILE-PRO and INC-9 forms, which simultaneously apply for the DINs, PAN, TAN and statutory registrations. Once the Registrar approves, you receive the Certificate of Incorporation bearing your Corporate Identity Number (CIN), along with PAN and TAN. The whole process typically takes about 10–15 working days.

Documents required

  • PAN and Aadhaar of all directors and shareholders
  • Passport-size photographs and identity proof (Voter ID / Passport / Driving Licence)
  • Address proof of directors (bank statement or utility bill, recent)
  • Registered office proof — rent agreement or ownership document with NOC
  • Latest utility bill for the registered office
  • Passport (mandatory) for any foreign national director

Compliance after incorporation

Forming the company is the start, not the finish. Within 30 days you must appoint an auditor (Form ADT-1), and before commencing business you file the INC-20A declaration after depositing the subscribed capital. Thereafter, every year brings AOC-4 (financial statements, within 30 days of the AGM), MGT-7/7A (annual return, within 60 days of the AGM), DIR-3 KYC for every director by 30 September, and board meetings with proper minutes. We map this calendar for you on day one so nothing is missed.

Why incorporate with TCC

A rushed incorporation with a clashing name, a weak MOA or a missed INC-20A creates problems that surface months later when you raise funds or open a bank account. Our experts handle the full SPICe+ filing, get the name and objects right, and hand you a clean company with the post-incorporation compliance calendar already set up. Pvt Ltd companies are also taxed at a competitive 22% under the 115BAA regime, which we help you elect. Fixed fee, WhatsApp-first, with ongoing ROC support available.
